Terms of Service

1. Who these terms are with

These terms govern your use of the Stockflow website, applications and related services, provided by Flutterfrog Software Solutions, Nagercoil, Tamil Nadu, India (“Stockflow”). Where you have signed a separate written agreement with us, that agreement takes precedence over these terms to the extent they conflict.

2. Your account

Accounts are issued to businesses. You are responsible for the accuracy of the information you give us, for the actions of users you authorise, and for keeping access to your account secure. Sign-in is by one-time password to a registered phone number; you must tell us promptly if that number changes or is compromised.

3. Your data stays yours

You own the business records you enter into the service. We do not acquire ownership of them. We process them to provide the service, to support you, and as otherwise set out in our Privacy Policy. You are responsible for having the right to provide any personal data you enter, including data about your employees and customers.

4. Sharing data with a brand

If you choose to share sales data with a brand, that sharing is governed by a separate written agreement, and the following limits apply in every case:

  • Only stock and sales data for that brand’s own products is extracted.
  • Filtering happens on your own computer before anything is transmitted.
  • The purpose is limited to verifying trade scheme claims and aggregate coverage reporting.
  • The identity of your retail customers is not shared unless you give explicit, separate consent. You may withdraw that consent.

You may end this sharing at any time by uninstalling the connector or telling us in writing.

5. Fees

Fees, billing frequency and the subscription term are as set out in your order or agreement. Fees are exclusive of GST unless stated otherwise. We may suspend access for non-payment after giving you notice and a reasonable chance to pay.

6. Acceptable use

Do not use the service to break the law, infringe someone else’s rights, upload malicious code, attempt to gain unauthorised access to any part of the platform or another customer’s data, or resell the service without our written agreement.

7. Availability and support

We work to keep the service available and will give reasonable notice of planned maintenance. The service depends on third-party infrastructure and on connectivity at your premises, which we do not control. Support channels and response expectations are as set out in your agreement.

8. Compliance features

The service includes GST, e-invoicing and e-way bill functionality that depends on government systems and on the accuracy of the data you enter. These features assist with compliance; they do not make us responsible for your compliance. You remain responsible for your own returns and filings, and we recommend you have them reviewed by your accountant.

9. Intellectual property

The software, its design and its documentation remain ours. You get a non-exclusive, non-transferable right to use them for your business during your subscription.

10. Liability

Nothing in these terms excludes liability that cannot be excluded by law. Subject to that, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid us in that period.

11. Ending the agreement

Either party may end the agreement as set out in the order or on reasonable written notice. Either party may end it immediately for a material breach that is not remedied. On termination you may ask us to export your data in a usable format within a reasonable period, after which we may delete it.

12. Changes to these terms

We may update these terms and will revise the date above. Where a change materially affects you, we will give you notice.

13. Governing law

These terms are governed by the laws of India, and the courts at Nagercoil, Tamil Nadu have jurisdiction.
